# Enadoc Term of Use These Terms of Use constitute a legally binding agreement between you and Enadoc Pte Ltd (hence referred to as "Enadoc," "Company," "we," "us," or "our") concerning your access to and use of our products and services. BY USING OUR PRODUCTS AND SERVICES OR OTHERWISE INDICATING ACCEPTANCE, YOU REPRESENT AND WARRANT THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS OF USE, YOU ARE ADVISED TO REFRAIN FROM USING OUR PRODUCTS AND SERVICES. Your continued use of our products and services following the revised Terms of Use indicates your acceptance of the modifications. ## DESCRIPTION OF OUR SERVICES Enadoc offers Evia (hence referred to as "Service" or "Services") as a software as a service (SAAS), commonly known as a cloud service. The Service is offered and delivered based on the terms and conditions herein. The customer may use any internet browser that the Service supports to connect to the Service. The customer is responsible for getting an internet connection and the required equipment to use the Service. ## MODIFICATIONS AND INTERRUPTIONS Enadoc reserve the right to change, modify or remove our Services and these terms of use at any time for any reason at our sole discretion. We will use our best efforts to make our products and services available 99.9% of the time. However, we will not be responsible for the inactivity of the products and services due to reasons beyond our control, including third-party vendors, hardware, software, or maintenance issues, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use our services during downtime or discontinuance. Nothing in these Terms of Use shall construe as obliging us to take corrective actions. ## USER REGISTRATION You must register with Evia and create an account if you need to use our products and services. You agree to keep your password confidential and will be responsible for all your account and password details. Enadoc will provide Services to customers following each customer's subscription plan. You shall not use or permit the use of our services for any illegal purpose or in any manner inconsistent with the provisions of these Terms. Users may use the Services continuously, paying the monthly/annual service fee. ## Client Responsibility for Data As users of Enadoc's SaaS applications, clients have certain responsibilities regarding their data. This includes ensuring the accuracy and legality of the data entered into our services, maintaining the confidentiality of access credentials, and adhering to applicable data protection laws. Clients should exercise due diligence in managing and protecting their data within the Enadoc environment. ## Information Security Breach and Liability Limits In the event of an information security breach, Enadoc's liability is limited as outlined in this section. Clients are informed that while Enadoc implements robust security measures, the company's liability in cases of data breaches, unauthorized access, or data loss is limited to the extent permitted by law. Clients are encouraged to maintain their own data backups and security measures to further mitigate risks. ## INTELLECTUAL PROPERTY RIGHTS Enadoc is the owner or licensee of the copyright, trademarks, and other intellectual property rights that subsist in the Standard Software, Customizations, Releases, Documentation, and all corrected versions and related parts. Title to these materials and the media upon which received shall remain vested in Enadoc or its licensors. ## CUSTOMER DATA You are solely responsible for determining the suitability of our products for your individual/organizational needs. You acknowledge and agree that you will not submit to Enadoc any data that creates any liability or damages for Enadoc. ## FREE TRIAL Enadoc offers free trials to new users who register with the products and services, but it may not include or enable access to all Evia features or capabilities. It is not required to attach any payment-related details for a free trial, and the subscription will be suspended until upgraded to a paid version at the end of the free trial, and the failure to upgrade to a paid version will result in all data being permanently deleted. However, the customer will be given prior notice before such deletion and expiration of the free trial. Enadoc reserves the right at its sole discretion to change the trial duration or cancel a trial period without notification. ## FEES AND PAYMENT Some of our Evia services may need you to purchase or pay a subscription fee to use them. The Payment Card Industry Data Security Standards (PCI DSS) certified third-party payment gateway provider that integrates with Evia products and services is processing and managing all the payment-related information. You also agree to keep your account and payment information up to date, including your email address, payment method, and card expiration date, so that we can complete your transactions and contact you if required. We bill you using an online billing account for Evia's product purchases. Enadoc has the right to adjust subscription plans, features, and pricing at any moment, and all payments must be in U.S. dollars. The Service is billed on a monthly and/or annual basis. In both cases, the amount billed is non-refundable. Until the customer requests a change or cancellation, each term will automatically renew for further periods of the same length as the first term. Enadoc reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order related to the Evia. ## LIMITATION OF LIABILITY **IN NO EVENT SHALL ENADOC BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS EVEN IF THE CUSTOMER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.** Enadoc's maximum aggregate liability to the customer for any cause (whether in the form of a refund, the additional cost of remedial services, or otherwise) will be limited to the amount paid during the three months preceding the event, resulting in the liability. ## TERM AND TERMINATION These Terms of Use shall remain in full force and effect while you use our Services. Enadoc reserves the right to terminate the customer's license and prevent utilizing the account further if the customer fails to pay or renew subscriptions paying the required license fee(s). Enadoc will make their accounts 'inactive' and delete customer data. We will notify you before such deletion. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake, or a borrowed name. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress without limitation. ## CANCELLATION You can cancel your subscription by logging into your account or contacting us using the contact information provided herein. Your cancellation will take effect at the end of the current paid term or the end of the trial expiration. ## PRIVACY POLICY We care about your data privacy and security. You agree that any disputes which may arise in connection with these terms shall finally be settled by arbitration following the SIAC Arbitration Rules of the Singapore International Arbitration Centre (the "SIAC") (such rules, the "SIAC Rules"). The seat of arbitration shall be in Singapore. The language of the arbitration shall be English.
